- License. Subject to the terms and conditions of this Agreement, AmeriSpec grants to Franchisee a non-exclusive, non-transferable license to use the AmeriSpec® Management System provided by AmeriSpec (together with the associated documentation, the "Software") for use only in the Franchised Business. Franchisee may not: (a) permit any parent, subsidiaries, affiliated entities or third parties to use the Software; (b) process or permit to be processed the data of any other party; (c) sell, license, publish, display, distribute, or otherwise transfer the Software to a third party without AmeriSpec's prior written consent; (d) copy the Software; or (e) alter, modify, disassemble, decompile or reverse engineer the Software. AmeriSpec will deliver access to the Software upon execution of this Agreement.

What This Means (2025 FDD)
According to the 2025 Amerispec Inspection Services Franchise Disclosure Document, access to the AmeriSpec Management System (AMS) software will be granted upon the execution of the franchise agreement. The AMS is described as an online business management tool designed to centralize necessary information and automate processes for the franchisee.
Amerispec Inspection Services uses the AMS to market, schedule, and communicate with the franchisee's customers. Franchisees are required to sign a license agreement for the use of this software, and the form of this agreement is included as an exhibit to the Franchise Agreement.
The initial license fee for the AMS is $300, which is included in the Marketing and Technology Bundle and is pro-rated for the franchisee's first year of operation. An annual renewal fee of $300 is payable on June 1 of each subsequent year. However, Amerispec Inspection Services retains the right to increase this renewal fee periodically to reflect increased costs of providing services and software access. New software releases may incur additional costs and require the franchisee to execute a new software license agreement. Amerispec Inspection Services also reserves the right to assign its rights to the software to a third party or replace the software altogether, potentially requiring the franchisee to enter into a separate license agreement with a third-party supplier.
