What This Means (2025 FDD)

According to the 2025 Amerispec Inspection Services FDD, franchisees are required to contribute to the National Advertising Fund (Ad Fund). As of the date of the 2025 Disclosure Document, franchisees must contribute the greater of 3% of monthly Gross Receipts or $160 to the Ad Fund, although the $160 minimum does not apply until 90 days after opening. Amerispec Inspection Services may adjust this contribution amount with written notice, but it will not exceed 3% of Gross Receipts.

However, Amerispec Inspection Services itself does not contribute to the Ad Fund. The FDD states that although there are no company-owned stores, all company-owned stores would contribute to the Ad Fund on the same basis as franchisees. Any unspent funds in the Ad Fund at the end of a fiscal year are retained for use in the following year. Franchisees can request a written statement of the Ad Fund's financial condition, certified by an executive officer of Amerispec Inspection Services.

The Ad Fund is intended to maximize public awareness of the Amerispec Inspection Services franchise system, but Amerispec Inspection Services is not obligated to ensure that individual franchisees directly benefit from advertising in their local market or to spend any specific amount on advertising in a franchisee's territory. Amerispec Inspection Services has sole discretion over advertising methods, media selection, advertising locations, and the content of advertising campaigns and promotional programs. In 2024, the Ad Fund was allocated as follows: 12% for digital media, 11% for assets, 7% for continuing education, 13% for contributions to the Co-Op, and 57% for administrative and miscellaneous costs.
