ION WITH THE SOFTWARE, ITS USE OR OTHERWISE. AMERISPEC'S TOTAL LIABILITY TO FRANCHISEE FOR DAMAGES RELATED TO THE SOFTWARE SHALL NOT EXCEED THE AMOUNTS PAID BY FRANCHISEE FOR SOFTWARE SUPPORT FEES IN THE PREVIOUS TWELVE-MONTH PERIOD.

    1. Confidentiality. Franchisee acknowledges that the Software is proprietary to AmeriSpec and/or its licensor and has been developed as valuable intellectual property. Franchisee agrees that it will not disclose or permit any of its employees, agents or representatives to disclose to any party any data or information with respect to the Software or any information relating thereto without the prior written consent of AmeriSpec. This obligation shall continue during the term of this Agreement and thereafter, regardless of the reason for which this Agreement and/or the Franchise Agreement shall have terminated, expired or been assigned.
