16.2.2.1The assignee shall enter into a written agreement with the Company, in a form satisfactory to the Company, assuming and/or guaranteeing all of the Franchisee's obligations hereunder;
16.2.2.2Any defaults under this Agreement on the part of the Franchisee have been remedied;
16.2.2.3The assignee shall demonstrate to the Company's satisfaction that it meets the Company's then-current standards for AmeriSpec franchisees; and
16.2.2.4Such other reasonable conditions as may be required by the Company in connection with the assignment have been satisfied.

What This Means (2025 FDD)
According to the 2025 Amerispec Inspection Services FDD, an assignee must enter into a written agreement with Amerispec Inspection Services, in a form satisfactory to them, assuming and/or guaranteeing all of the franchisee's obligations under the franchise agreement. This ensures that the assignee is legally bound to fulfill all responsibilities and duties outlined in the original franchise agreement.
In addition to the written agreement, the assignee must also meet several other conditions. They must demonstrate to Amerispec Inspection Services's satisfaction that they meet the company's then-current standards for franchisees. Any defaults under the original agreement on the part of the franchisee must be resolved before the assignment can proceed.
Furthermore, if the assignment results in the transfer of one-half or more of the beneficial interest in the franchise, Amerispec Inspection Services will assess the assignee's moral character, reputation, credit rating, financial capabilities, and business qualifications. The assignee or their designated representative may also be required to complete Amerispec Inspection Services's training program and pay the associated training fee. The assignee may also be required to update the Computer System of the Franchised Business to the Company's then-current standards. These stipulations ensure that the assignee is well-qualified and prepared to operate the Amerispec Inspection Services franchise successfully.
