the CRS, and (ii) we have the right, at our sole discretion, to suspend your access to any revenuegenerating or revenue-related programs (such as group and corporate leads, and Revenue Management Insights). However, all fees continue to accrue during the suspension period. We will reinstate your rights only if you: (a) take all actions necessary to correct any deficiencies detected during any quality assurance inspection visits, or cure such default and provide evidence of cure satisfactory to us within the time frame stated in the notice, whichever is applicable; and, if required, (b) pay our then current reactivation fee. Exercising our suspension rights pursuant to this Section 13.(a) does not preclude us from exercising any other rights and remedies—including our right to terminate this Agreement pursuant to Sections 13.(b) or 13.(c)—if the applicable default has not been cured within any permitted cure period. Notwithstanding anything set forth in this Agreement, we reserve the right to immediately suspend your rights under this Agreement, without prior notice, if we reasonably believe the operation or condition of the Hotel presents a potential threat to the life or safety of any person, or if you have been cited with the violation of any health, safety, or sanitation law, ordinance, or regulation.

What This Means (2025 FDD)

According to the 2025 Americas Best Value Inn Franchise Disclosure Document, if a franchisee's rights have been suspended, reinstatement requires specific actions. The franchisee must first take all necessary steps to correct any deficiencies identified during quality assurance inspection visits or otherwise cure the default that led to the suspension. Evidence of this cure must be provided to Americas Best Value Inn and be satisfactory to them, within the timeframe stated in the notice of suspension.

In addition to correcting deficiencies, Americas Best Value Inn may require the franchisee to pay a reactivation fee. The amount of this fee is determined by what Americas Best Value Inn considers to be the current reactivation fee at the time of reinstatement.

It is important to note that suspension of a franchisee's rights does not prevent Americas Best Value Inn from exercising other remedies, including termination of the franchise agreement, if the default is not cured within the permitted cure period. Americas Best Value Inn also retains the right to immediately suspend a franchisee's rights without prior notice if the operation or condition of the hotel poses a potential threat to life or safety, or if there is a violation of any health, safety, or sanitation law.
