Can Americas Best Value Inn establish and operate ABVI Hotels at any location?

We grant franchisees a non-exclusive license to operate ABVI Hotels at a specified location. You will not receive an exclusive territory. You may face competition from other franchisees, from outlets that we own, or from other channels of distribution or competitive brands that we control.
We and our affiliates retain the right to engage in any and all activities that we (or they) deem appropriate and are not expressly prohibited under the Franchise Agreement, at all times, anywhere in the world, including the right to:
- (a) establish and operate, and allow others to establish and operate ABVI Hotels at any location on such terms and conditions we deem appropriate;
- (b) establish, operate, and license others to establish and operate, anywhere in the world other than the premises of your Hotel, Network Hotels and other businesses that offer products and services which are identical or similar to the products and services offered by ABVI Hotels under any trade names, trademarks, service marks, and commercial symbols;

What This Means (2025 FDD)
According to the 2025 Americas Best Value Inn Franchise Disclosure Document, Americas Best Value Inn retains the right to establish and operate ABVI Hotels at any location under terms and conditions they deem appropriate. The franchise agreement grants franchisees a non-exclusive license to operate an ABVI Hotel at a specific location, without any exclusive territory. This means franchisees may face competition from other franchisees, company-owned outlets, or other competitive brands controlled by Americas Best Value Inn.
Americas Best Value Inn and its affiliates also retain the right to engage in activities not expressly prohibited under the franchise agreement, anywhere in the world. These activities include establishing and operating ABVI Hotels, as well as other businesses offering similar products and services under different trade names. They can also purchase, merge, or affiliate with existing competitive or noncompetitive franchise networks.
Prospective franchisees should be aware that Americas Best Value Inn is not obligated to compensate them for sales made through other channels of distribution, including the internet or direct marketing. Franchisees may solicit or accept customer reservations from anywhere, but must adhere to Brand Standards for online presence. While the document mentions that in special circumstances, Americas Best Value Inn may grant an ABVI Hotel an exclusive or protected area, it is not a standard practice and is at the sole discretion of the franchisor.
