WASHINGTON ADDENDUM TO THE FRANCHISE DISCLOSURE DOCUMENT, THE FRANCHISE AGREEMENT, AND ALL RELATED AGREEMENTS

The provisions of this Addendum form an integral part of, are incorporated into, and modify the Franchise Disclosure Document, the franchise agreement, and all related agreements regardless of anything to the contrary contained therein. This Addendum applies if: (a) the offer to sell a franchise is accepted in Washington; (b) the purchaser of the franchise is a resident of Washington; and/or (c) the franchised business that is the subject of the sale is to be located or operated, wholly or partly, in Washington.

What This Means (2025 FDD)

According to Alloy's 2025 Franchise Disclosure Document, the Washington Addendum does not apply to all franchise agreements. The Washington Addendum is applicable only if (a) the offer to sell a franchise is accepted in Washington; (b) the purchaser of the franchise is a resident of Washington; and/or (c) the franchised business that is the subject of the sale is to be located or operated, wholly or partly, in Washington.

This means that if a prospective Alloy franchisee does not meet any of these conditions, the Washington Addendum will not be integrated into their Franchise Disclosure Document, franchise agreement, or any related agreements. The addendum modifies the standard franchise agreement to comply with Washington state law.

Furthermore, there is an Acknowledgment Addendum to the Alloy Franchise Agreement that specifically does not apply to candidates or businesses located in Washington, along with several other states. Therefore, franchisees should carefully review all addenda to understand which provisions apply to their specific situation based on their location and residency.
