Under what conditions can Alloy Franchisor assign its interests or sublet the Premises to an Alloy franchisee after assuming the Tenant's interests under the Lease?

At or after the time Franchisor assumes Tenant's interests under the Lease, the Franchisor may, at any time, assign such interests or sublet the Premises to an ALLOY franchisee.
Any such assignment shall be subject to the prior written consent of the Landlord, which Landlord
shall not unreasonably withhold as it relates to a creditworthy franchisee who otherwise meets Franchisor's then-current standards and requirements for franchisees and agrees to operate the Facility as an ALLOY Facility pursuant to a Franchise Agreement with Franchisor. Upon receipt by Landlord of an assumption agreement pursuant to which the assignee agrees to assume the Lease and to observe the terms, conditions and agreements on the part of Tenant to be performed under the Lease, the Franchisor shall thereupon be released from all liability as tenant under the Lease from and after the date of assignment, without any need of a written acknowledgement of such release by Landlord.

What This Means (2025 FDD)
According to Alloy's 2025 Franchise Disclosure Document, after Alloy assumes the tenant's interests under a lease, Alloy can assign those interests or sublet the premises to an Alloy franchisee. However, this is contingent upon receiving prior written consent from the landlord. The landlord cannot unreasonably withhold consent if the franchisee is creditworthy, meets Alloy's current standards for franchisees, and agrees to operate the facility as an Alloy facility under a Franchise Agreement with Alloy.
To finalize the assignment, the landlord must receive an assumption agreement from the franchisee, where the franchisee agrees to take on the lease and adhere to the terms and conditions originally set for the tenant. Once the landlord receives this agreement, Alloy is released from all liability as the tenant under the lease, starting from the assignment date. No written acknowledgement of this release from the landlord is necessary.
This clause protects Alloy by allowing them to transfer the lease to a new franchisee, ensuring continued operation of the Alloy franchise at that location. It also protects the landlord by ensuring that the new franchisee is qualified and committed to maintaining the standards of an Alloy facility. For a prospective franchisee, this provides assurance that Alloy can facilitate a smooth transition if the original franchisee defaults or leaves the business.
