What This Means (2025 FDD)
According to Alloy's 2025 Franchise Disclosure Document, a developer must send a notice to Alloy at least 45 days, but no more than 60 days, before the date set forth in the Development Schedule for the execution of each Franchise Agreement. This notice should include a request for the then-current disclosure documents, confirmation of the developer's intention to develop the particular Facility, and all information necessary to complete the Franchise Agreement for the specific Facility.
This requirement ensures that Alloy has ample time to provide updated documents and gather necessary information for the Franchise Agreement. It also allows Alloy to confirm the developer's commitment and readiness to proceed with the new location. The timeframe provides a window for the developer to act, preventing delays while also ensuring the information remains current.
Failure to provide this notice within the specified timeframe could potentially delay the development process or even result in a breach of the development agreement. Therefore, it is crucial for prospective Alloy developers to adhere to this schedule and maintain open communication with Alloy throughout the development process. This proactive approach helps ensure a smooth and timely execution of the Franchise Agreement.
