  • E. "System" means the ALLOY System, which consists of specific equipment, fixtures, furnishings, materials and supplies; methods, uniform standards, specifications and procedures for operations; procedures for management; training and assistance; and merchandising, advertising and promotional programs and other proprietary information, all of which we may change, improve and further develop. The System is identified by the Trademarks. The System includes a proprietary software application (the "Alloy App"). The Alloy App will provide a franchisee with tools to manage and communicate with coaches and clients through a personal profile.

    1. You must perform the following obligations:
    • A. You must comply with all of the terms and conditions of each Franchise Agreement, including the operating requirements specified in each Franchise Agreement.
    • B. You and your Owners, officers, directors, shareholders, partners, members and managers (if any) acknowledge that your entire knowledge of the operation of an ALLOY Facility and the System, including the knowledge or know-how regarding the specifications, standards and operating procedures of the services and activities, is derived from information we disclose to you and that certain information is proprietary, confidential and constitutes our trade secrets. The term "trade secrets" refers to the whole or any portion of know-how, knowledge, methods, specifications, processes, procedures and/or improvements regarding the business that is valuable and secret in the sense that it is not generally known to our competitors and any proprietary information contained in the Manuals or otherwise communicated to you in writing, verbally or through the Internet or other online or computer communications, and any other knowledge or knowhow concerning the methods of operation of the Facilities. You and your Owners, officers, directors, shareholders, partners, members and managers (if any), jointly and severally, agree that at all times during and after the term of this Agreement, you will maintain the absolute confidentiality of all such proprietary information and will not disclose, copy, reproduce, sell or use any such information in any other business or in any manner not specifically authorized or approved in advance in writing by us. We may require that you obtain nondisclosure and confidentiality agreements in a form satisfactory to us from the individuals identified in the first sentence of this paragraph and other key employees.
    • C. You must comply with all requirements of federal, state and local laws, rules and regulations.

You must use only such marketing materials (including any print, radio, television, electronic, or other media forms that may become available in the future) as we furnish, approve or make available, and the materials must be used only in a manner that we prescribe.

You may not use, or permit the use of, any trademarks, trade names or service marks in connection with the Facility except those set forth in the Manual or except as we otherwise direct in writing.

You must use the name ALLOY as the trade name of the Facility and you may not use any other mark or words to identify the Facility without our prior written consent.

We may require you, at your expense, to participate in our ALLOY website on the Internet, our intranet system or extranet system or other online communications as we may require. We have the right to determine the content and use of our website and intranet or extranet system and will establish the rules under which franchisees may or must participate. You may not separately register any domain name containing any of the Trademarks, participate in any website (including any social media platform) that markets goods and services similar to a ALLOY facility, or operate a website or social media site for your Facility that does not link to our website and/or that we do not approve. What This Means (2025 FDD)

According to Alloy's 2025 Franchise Disclosure Document, franchisees must adhere to the Alloy System, which includes specific equipment, operating procedures, management methods, training, and marketing programs. Alloy retains the right to modify and improve the System. Franchisees receive knowledge of the Alloy facility and System operations from Alloy, including specifications, standards, and operating procedures, which are considered proprietary and confidential trade secrets. Franchisees must maintain the confidentiality of this information and not disclose or use it in any way not authorized by Alloy. Alloy may also require franchisees to obtain nondisclosure and confidentiality agreements from key employees.

Alloy franchisees must use only marketing materials that Alloy furnishes, approves, or makes available, and these materials must be used as prescribed by Alloy. Franchisees must submit all advertising and promotional materials to Alloy for approval before use. If Alloy does not respond within 14 days of submission, the materials are deemed not approved. Alloy has the right to designate local or regional advertising markets, and franchisees must participate in and contribute to any group or cooperative advertising and marketing programs in their designated market.

Franchisees must use the name ALLOY as the trade name of their facility and may not use any other mark or words to identify the facility without Alloy's prior written consent. They also cannot use ALLOY or any similar trademarks as part of their business entity's name. Franchisees may be required to participate in Alloy's website, intranet, or extranet systems and must adhere to Alloy's rules for participation. Franchisees cannot register domain names containing Alloy's trademarks or operate unapproved websites or social media sites for their facility. Alloy will provide template websites for franchisees to use in accordance with Alloy's standards and requirements.
