What This Means (2025 FDD)

Based on the 2025 FDD, the excerpts provided do not specify whether the terms of the Lease Addendum for an Alloy franchise can be negotiated without prior approval from Alloy. However, the FDD does state that the landlord acknowledges that the provisions of the Addendum to Lease are required pursuant to the Franchise Agreement and that the tenant would not lease the premises without this addendum.

While the FDD excerpts do not explicitly address the negotiability of the Lease Addendum, they do highlight the importance of Alloy's involvement in the leasing process. The franchisor has the right to access the premises during the lease to ensure compliance with the Franchise Agreement. This suggests that Alloy maintains some oversight regarding the lease terms to ensure they align with the franchise requirements.

To gain clarity on whether the Lease Addendum is negotiable, a prospective Alloy franchisee should directly ask the franchisor about the flexibility in negotiating the terms of the Lease Addendum. Specifically, they should inquire about which terms, if any, are open to negotiation and what the process is for obtaining approval for any proposed changes.
