- You must implement and abide by our requirements and recommendations directed to enhancing substantial System uniformity and protecting the goodwill of the Trademarks. The following provisions control with respect to products and operations:
- A. Authorized Training and Related Services and Products. Your Business must be confined to the authorized training services and all other authorized services and products that we designate and approve in writing from time to time. We have the right to make modifications to these items from time to time, and you agree to comply with any modifications. You may not offer or sell any other service or product at the Facility without our prior written consent. You must use in the operation of the Business only the proprietary and non-proprietary techniques and processes and supplies we designate, all as we specify in our Manuals or otherwise in writing. We will supply to you a copy of the current Manual prior to opening the Facility. You acknowledge and agree that we may change these periodically and that you are obligated to conform to the requirements.
- B. Approved Supplies and Suppliers. We will furnish to you from time to time lists of approved supplies or approved suppliers. You must only use approved products, services, equipment, fixtures, furnishings, signs, advertising materials, trademarked items and novelties, and other items or services (collectively, "approved supplies") in connection with the design, construction and operation of the Facility as set forth in the approved supplies and approved suppliers lists, as we may amend from time to time.

According to Alloy's 2025 Franchise Disclosure Document, the 'approved supplies' list impacts several aspects of the business. Franchisees must use only approved products, services, equipment, fixtures, furnishings, signs, advertising materials, trademarked items, novelties, and other items or services in connection with the design, construction, and operation of their Alloy facility. These items are detailed in the 'approved supplies' and 'approved suppliers' lists, which Alloy may update periodically.
Alloy retains the right to approve the manufacturer, distributor, and/or supplier of these 'approved supplies,' although they may not do so for every item. In some cases, certain approved supplies may only be available from a single approved supplier, which could be Alloy or its affiliates. Franchisees are obligated to pay the current price for any approved products and supplies purchased directly from Alloy or its affiliates.
For items not included on the approved lists, franchisees must ensure that all inventory, products, materials, and other supplies used in the facility's operation conform to Alloy's established specifications and standards. Alloy explicitly disclaims all warranties, including those of merchantability and fitness for a particular purpose, even for items that are approved or designated by them. This disclaimer extends to services, products, equipment, computer systems, supplies, fixtures, furnishings, and other approved items, which means franchisees bear the risk even with approved items.
