Are Alloy Special Site locations limited by their location or proximity to my Alloy facility?

ectly solicit customers outside your Designated Area. We may establish from time to time written guidelines regarding the territorial scope of your marketing activities. You agree to comply with any such guidelines.
We retain all rights that are not expressly granted to you under this Agreement. Further, we and our affiliates may, among other things, on any terms and conditions we deem advisable, without compensation to any franchisee, and without granting you any rights therein:
- (i) establish and/or license others to establish franchised or company-owned or affiliate-owned Facilities at any location, regardless of the proximity of such facilities to your Designated Area;
- (ii) merge with, acquire or become associated with ("Merger/Acquisition Activity") any businesses or facilities of any kind (including those in competition with ALLOY) under other systems and/or marks, which businesses and facilities may convert to or operate under the Trademarks and may offer or sell training services or related products that are the same as or similar to the services or products offered at or from the Facility, and which may be located anywhere;

What This Means (2025 FDD)
According to Alloy's 2025 Franchise Disclosure Document, Special Site locations are not limited by their location or proximity to your Alloy facility. Alloy retains the right to develop or franchise Special Site locations regardless of their location and proximity to your facility.
Alloy defines Special Sites as unique locations that are separate in character from typical Alloy facilities. These locations include military bases, public transportation facilities like airports, business or industry locations such as manufacturing sites or office buildings, sports facilities, student unions or similar buildings on college or university campuses, malls or enclosed shopping centers, and community and special events.
This means that Alloy can establish or franchise these Special Sites even if they are near your franchised location. As a franchisee, you will not receive compensation if Alloy or its affiliates establish facilities, including Special Sites, near your location. This could potentially impact your business if a Special Site location draws customers away from your primary Alloy facility.
