What This Means (2025 FDD)

According to Alloy's 2025 Franchise Disclosure Document, franchisees and their owners, officers, directors, shareholders, partners, members, and managers acknowledge that their understanding of the Alloy facility's operation and system, including specifications, standards, and operating procedures, comes from information disclosed by Alloy. This information is considered proprietary, confidential, and constitutes Alloy's trade secrets. The term "trade secrets" encompasses know-how, knowledge, methods, specifications, processes, procedures, and improvements related to the business that are valuable and not generally known to competitors. It also includes proprietary information in the manuals or communicated in writing, verbally, or online, as well as knowledge concerning the facility's operation methods.

During and after the franchise term, franchisees must maintain the absolute confidentiality of all proprietary information. They are prohibited from disclosing, copying, reproducing, selling, or using this information in any other business or manner not specifically authorized or approved in writing by Alloy. Alloy may require nondisclosure and confidentiality agreements from the franchisee's owners, officers, directors, shareholders, partners, members, managers, and other key employees.

In essence, Alloy franchisees are entrusted with sensitive, proprietary information critical to the Alloy system. They have a strict obligation to protect this information and use it only as authorized within the scope of their franchise agreement. Failure to maintain confidentiality or unauthorized use of trade secrets could lead to legal repercussions and termination of the franchise agreement. This is a standard practice in franchising, as franchisors rely on protecting their intellectual property to maintain a competitive advantage and ensure consistency across the franchise system.
