What This Means (2025 FDD)

According to Alloy's 2025 Franchise Disclosure Document, franchisees must adhere to specific requirements and recommendations to maintain System uniformity and protect the goodwill associated with the Alloy trademarks. This includes confining their business to authorized training services and other approved services and products designated by Alloy in writing.

Alloy franchisees must also comply with standards related to the Trademarks, as the Trademarks are the property of Alloy's affiliate, and Alloy licenses their use to franchisees. Franchisees must not engage in any conduct that could harm or infringe upon Alloy's rights to the Trademarks or the associated goodwill. They are required to use only the trademarks, trade names, and service marks specified in the Manual or as otherwise directed by Alloy in writing, and only in connection with approved products and services that meet Alloy's standards.

To further ensure uniformity, Alloy franchisees must use "Alloy" as the trade name for their facility and must not use any similar names without prior written consent. They must also comply with Alloy's signage specifications, which may be modified over time due to changes in the System or Trademarks. Franchisees are responsible for making any required changes to their signage at their own cost. By adhering to these standards, Alloy aims to maintain a consistent brand image and protect the value of its trademarks across all franchise locations.
