Our Reasonable Business Judgment.
Whenever we reserve discretion in a particular area or where we agree to exercise our rights reasonably or in good faith, we will satisfy our obligations whenever we exercise Reasonable Business Judgment in making our decision or exercising our rights.
Our decisions or actions will be deemed to be the result of Reasonable Business Judgment, even if other reasonable or even arguably preferable alternatives are available, if our decision or action is intended, in whole or significant part, to promote or benefit the System generally even if the decision or action also promotes our financial or other individual interest.
Examples of items that will promote or benefit the System include, without limitation, enhancing the value of the Trademarks, improving customer service and satisfaction, improving product quality, improving uniformity, enhancing or encouraging modernization and improving the competitive position of the System.

What This Means (2025 FDD)
According to Alloy's 2025 Franchise Disclosure Document, the agreement defines 'Reasonable Business Judgment' as the standard Alloy uses when exercising its rights reasonably or in good faith. Alloy will satisfy its obligations when it exercises Reasonable Business Judgment in making decisions or exercising its rights.
The FDD states that Alloy's decisions or actions are considered the result of Reasonable Business Judgment, even if other reasonable alternatives exist, provided the decision or action is intended to promote or benefit the Alloy system generally, even if it also benefits Alloy's financial or other individual interests.
The examples of items that promote or benefit the Alloy system include enhancing the value of Alloy's trademarks, improving customer service and satisfaction, improving product quality and uniformity, encouraging modernization, and improving the competitive position of the Alloy system. This definition provides some clarity for franchisees regarding the criteria Alloy will use when making decisions that affect the franchise system.
