In what form will Alloy notify an Alloy franchisee of its approval or disapproval of a proposed supplier?

Alloy Franchise · 2025 FDD

Answer from 2025 FDD Document

You must use only such marketing materials (including any print, radio, television, electronic, or other media forms that may become available in the future) as we furnish, approve or make available, and the materials must be used only in a manner that we prescribe.

Furthermore, any promotional activities you conduct in the Facility or on its premises are subject to our approval.

You must submit all advertising and promotional materials to us prior to your use.

If we do not respond within 14 days after you submit the proposed advertising materials to us, the advertising materials will be deemed not approved.

We will not unreasonably withhold approval of any sales promotion materials or media and activities; provided that they are current, in good condition, in good taste and accurately depict the Trademarks.

What This Means (2025 FDD)

Based on the 2025 Alloy Franchise Disclosure Document, Alloy franchisees are required to use only marketing materials that Alloy furnishes, approves, or makes available. If a franchisee submits advertising and promotional materials to Alloy, and Alloy does not respond within 14 days, the materials are deemed not approved. Alloy will not unreasonably withhold approval of any sales promotion materials or media and activities, provided that they are current, in good condition, in good taste, and accurately depict the Trademarks.

This means that if you, as an Alloy franchisee, want to use specific marketing materials, you must submit them to Alloy for approval. If you don't hear back from Alloy within 14 days, you cannot use the materials. However, Alloy is expected to provide a fair assessment of your proposed materials, focusing on whether they meet brand standards and are appropriate for promotion.

While the FDD excerpt specifies the timeframe for approval of marketing materials, it does not explicitly state the form in which Alloy will communicate its approval or disapproval of a proposed supplier. It only mentions that if there is no response within 14 days, the materials are considered not approved. A prospective franchisee should clarify with Alloy how they will be notified of the approval or disapproval of a proposed supplier, whether it will be in writing or another form of communication.
