GRANT OF DEVELOPMENT RIGHTS

- The following provisions control with respect to the rights granted hereunder:
- A. We grant to you, under the terms and conditions of this Agreement, the right to develop and operate the number of ALLOY Facilities set forth in Appendix B (the "Facilities") within the territory described on Appendix C (the "Development Territory").
- B. You are bound by the development schedule set forth in Appendix B (the "Development Schedule").

What This Means (2025 FDD)
According to Alloy's 2025 Franchise Disclosure Document, the specific number of Alloy facilities a franchisee is entitled to develop and operate is found in Appendix B of the Development Agreement. This agreement grants the franchisee the right to develop and operate a certain number of Alloy facilities, as detailed in Appendix B, within a defined territory outlined in Appendix C.
The franchisee is legally bound to adhere to the development schedule also found in Appendix B. This schedule dictates the timeline for opening the Alloy facilities. It is important to note that 'time is of the essence' regarding this schedule. Each Alloy facility must be operated under a separate Franchise Agreement.
Failure to meet the obligations outlined in the development schedule, such as not executing a Franchise Agreement or not opening a facility by the specified date, gives Alloy the right to terminate the Development Agreement. Therefore, prospective franchisees should carefully review Appendix B and Appendix C to fully understand their development obligations and territorial rights.
