You are bound by the development schedule set forth in Appendix B (the “Development Schedule”).
Time is of the essence for the development of each Facility in accordance with the Development Schedule.
Each Facility must be developed and operated pursuant to a separate Franchise Agreement that you enter into with us pursuant to Section 4.B below.

What This Means (2025 FDD)
According to Alloy's 2025 Franchise Disclosure Document, the development schedule for Alloy facilities is detailed in Appendix B, which is referred to as the "Development Schedule". The franchisee is bound by and must strictly adhere to this schedule.
The Development Schedule specifies the dates by which the franchisee must enter into Franchise Agreements with Alloy for the number of facilities outlined in the schedule. It also includes requirements regarding the opening date for each facility and the cumulative number of facilities that must be open and continuously operating in the Development Territory.
Failure to comply with the Development Schedule, whether by not executing a Franchise Agreement or not opening a facility according to the specified dates, gives Alloy the right to immediately terminate the agreement. This strict adherence to the Development Schedule is a critical aspect of the development rights and obligations of the franchisee.
Furthermore, the term of the agreement and all rights granted to the franchisee will expire on the date the last Alloy Facility is scheduled to be opened under the Development Schedule, unless the agreement is terminated sooner. This underscores the importance of meeting the deadlines outlined in Appendix B.
