B. You must immediately cease to operate your business under this Agreement and must not thereafter, directly or indirectly, represent to the public or hold yourself out as a present or former developer of ours except in connection with the business operations of any existing, Facilities that have been developed prior to the termination of this Agreement and that are still operating under a valid Franchise Agreement.

What This Means (2025 FDD)
According to Alloy's 2025 Franchise Disclosure Document, if the Development Agreement is terminated, the developer cannot represent themselves to the public as a current or former developer of Alloy, either directly or indirectly. However, there is an exception if the developer continues to operate existing Alloy facilities under a valid Franchise Agreement that was established before the termination of the Development Agreement. In that case, they can represent themselves in connection with the business operations of those specific facilities.
This restriction is in place to protect Alloy's brand and prevent confusion among customers. After termination, the developer's rights to develop new Alloy facilities cease, and they must not mislead the public into thinking they are still part of the Alloy franchise system, except as it pertains to already-existing franchised locations. This ensures that only authorized and current franchisees represent the Alloy brand.
Furthermore, the developer must also discontinue using Alloy's trademarks in their business name and transfer any related telephone numbers and listings to Alloy. These measures are standard practice in franchising to ensure a clean break and prevent any further association between the former developer and the Alloy brand after the agreement ends. This protects Alloy's brand integrity and prevents potential misuse of its trademarks and identity.
