MARYLAND ADDENDUM TO FRANCHISE DISCLOSURE DOCUMENT
The following applies to franchises and franchisees subject to Maryland statutes and regulations. The Item number corresponds to those in the main body.

Due to the financial condition of the Franchisor, the Maryland Securities Commissioner has required a financial assurance. Therefore, we have posted a surety bond which is on file with the Maryland Securities Division. A copy of the surety bond is attached as an exhibit to the Maryland addenda pages. The surety bond covers the initial franchise fee for a single unit franchise or an area development franchise for three units, which at this time is all we are offering and selling in the State of Maryland.

What This Means (2025 FDD)
According to Alloy's 2025 Franchise Disclosure Document, due to Alloy's financial condition, certain states require a financial assurance in the form of a surety bond. For franchisees in Maryland and Minnesota, a copy of the surety bond is included as an exhibit to the addenda pages specific to those states.
Specifically, the Maryland addendum indicates that the surety bond on file with the Maryland Securities Division covers the initial franchise fee for a single unit franchise or an area development franchise for three units. Alloy states that they will not offer or sell any other area development franchises in Maryland.
Similarly, for Minnesota, the surety bond is on file with the State of Minnesota, and a copy is attached as an exhibit to the Minnesota addenda pages. Washington also has a franchisor surety bond with Bond Number SP 0001083-0000.
