If a court determines that this limitation on joinder of or class action certification of claims is unenforceable, then this entire commitment to arbitrate will become null and void and the parties must submit all claims to the jurisdiction of the courts. The arbitration must take place in the county where our headquarters are then located (currently, Roswell, Georgia, or such other place as we mutually agree. The arbitrator must follow the law and not disregard the terms of this Agreement. The arbitrator must have at least 5 years of significant experience in franchise law. A judgment may be entered upon the arbitration award by any court of competent jurisdiction.

What This Means (2025 FDD)

According to Alloy's 2025 Franchise Disclosure Document, the location for arbitration depends on where the franchise is purchased. Generally, arbitration must occur in the city or county where Alloy's headquarters are located. Currently, Alloy's headquarters are in Roswell, Georgia, but this location can change. The parties can also mutually agree to a different location.

However, if the franchise is purchased in Washington, the Washington Addendum to the Franchise Disclosure Document modifies this. In such cases, the arbitration site will be in Washington, or in a location mutually agreed upon at the time of the arbitration or mediation, or as determined by the arbitrator or mediator at the time of arbitration or mediation.

This means that franchisees outside of Washington may be required to travel to Georgia for arbitration, which could increase costs. Franchisees in Washington have the benefit of arbitrating in their home state, unless another location is agreed upon.
