Am I allowed to contest the validity of Alloy's ownership of the marks?

According to Alloy's 2025 Franchise Disclosure Document, franchisees are explicitly prohibited from contesting the validity of Alloy's trademarks. The franchise agreement stipulates that franchisees must sign documents to protect Alloy's trademarks and maintain their validity.

This means that as an Alloy franchisee, you cannot legally challenge Alloy's ownership or rights to the trademarks. This is a fairly standard clause in franchise agreements, as the franchisor needs to protect its brand identity. However, the FDD also states that franchisees must promptly notify Alloy of any challenge to the validity of the Proprietary Marks, or any challenge to Alloy's ownership. This means that while you cannot directly contest the trademarks, you are obligated to inform Alloy of any potential threats or challenges to their trademarks.

It's important to understand that Alloy reserves the right to substitute different Proprietary Marks for use in identifying the System and the businesses operating under the Proprietary Marks, at its sole discretion. You must implement any changed or substituted Proprietary Mark at your own expense and with no right to object to the change. This could potentially involve costs for new signage, marketing materials, and other branding elements.
