What This Means (2025 FDD)
According to All Team's 2025 Franchise Disclosure Document, All Team Franchise Corporation (ATFC) owns the intellectual property for any innovations related to the All Team agency. The franchise agreement stipulates that any ideas, concepts, techniques, innovations, developments, improvements, suggestions, or materials related to the agency, regardless of whether they are protectable intellectual property, automatically become the sole and exclusive property of ATFC. This applies whether these innovations are created by the franchisee, their owners, affiliates, employees, or representatives.
This means that if a franchisee or someone working for them develops a new method, tool, or concept that improves the All Team business, the franchisee is legally obligated to disclose it to ATFC. Furthermore, the franchisee must assign all ownership rights to ATFC, ensuring that All Team maintains control over all aspects of its system. This is framed as a 'work made-for-hire' arrangement, further solidifying ATFC's ownership.
For a prospective All Team franchisee, this clause has significant implications. It means that any creative ideas or improvements they develop for their agency, even if they seem unique or valuable, cannot be retained or monetized independently. Instead, these innovations become the property of All Team, potentially benefiting the entire franchise system but not necessarily the individual franchisee who conceived them. Franchisees must ensure that their employees and affiliates are also aware of this obligation to assign intellectual property rights to ATFC.
This type of clause is not uncommon in franchising, as franchisors often seek to maintain uniformity and control over their brand and operating systems. However, it is crucial for franchisees to understand that their creative contributions may not directly benefit them financially in terms of intellectual property ownership. Franchisees should carefully consider this aspect and how it aligns with their entrepreneurial goals and expectations before investing in an All Team franchise.
