Who negotiates National/Regional Accounts for All Team, even if a franchisee procures the account?

Nothing will prohibit us and our affiliates from doing business within the Area for National/Regional Accounts. A National/Regional Account means those Temporary Service Business and Permanent Placement Business accounts, with more than one location covered by an agreement, written or oral, for services which are not located solely in the area of one franchisee. A list of our National/Regional Accounts will be found in the Manual. If you obtain an account that is considered a National/Regional Accounts, you must refer it to us and it will be treated as a National/Regional Account; however, we reserve the right to reject any such account in our sole judgment and discretion. National/Regional Accounts will be negotiated solely by us or our affiliates, even if you procure the National/Regional Account. All National/Regional Accounts will be considered our property and you will have no claim to them. As such, all National/Regional Accounts and related agreements will be negotiated, managed, and controlled solely by us even if you procure the National/Regional Account. If one or more locations of a National/Regional Account fall within your Area, we will first offer you the opportunity to provide such services on the terms and conditions that have been established with such National/Regional Account. You are not required to service a National/Regional Account and if you do not accept such offer in the manner and within the time period that we specify, we have the right to service the account ourselves, or may authorize other franchisees, licensees, or affiliate-owned agencies, to provide such services. Even if you fail to accept the job order to service a certain National/Regional Account, you may fill subsequent job orders once you have temporary staff or personnel candidates available. However, the decision to accept you as a provider of services for the National/Regional Account must ultimately rest with the National/Regional Account. All National/Regional Accounts will be billed by us, and Customer payments for National/Regional Accounts will be sent to us and we will forward these amounts to you.

What This Means (2025 FDD)
According to All Team's 2025 Franchise Disclosure Document, National/Regional Accounts are negotiated solely by All Team or its affiliates, even if a franchisee brings in the account. These accounts are defined as those covering multiple locations under a single agreement and are not confined to one franchisee's area. All Team retains the right to reject any account a franchisee obtains.
All Team considers National/Regional Accounts to be their property, meaning franchisees have no claim to them. All Team manages and controls all aspects of these accounts. If a National/Regional Account has locations within a franchisee's territory, the franchisee will be offered the opportunity to service those locations under the terms established with the account. However, the franchisee is not obligated to accept this offer, and if they decline, All Team can service the account themselves or authorize other franchisees, licensees, or affiliate-owned agencies to do so.
Even if a franchisee initially declines to service a National/Regional Account, they can still fulfill subsequent job orders if they have available staff. However, the final decision on whether to use the franchisee's services rests with the National/Regional Account. All Team handles the billing for these accounts, and customer payments are sent to All Team, who then forwards the appropriate amounts to the franchisee. This arrangement ensures All Team maintains control over large accounts while still allowing franchisees to participate and benefit from them.
