Answer from 2025 FDD Document

We reserve the right, in its sole discretion, to establish and modify, from time to time, the duties, organization, form, manner of operation, membership, methods of member selection, and all other aspects of the NAC (other than eligibility for voting) pursuant to such governing documents as we may prepare; provided, however that members elected by franchisees shall in no event be less than 50% of the members of the NAC. Any deadlocks in the NAC shall be resolved by the decision of the Director of the NAC.

What This Means (2025 FDD)

According to All Team's 2025 Franchise Disclosure Document, All Team retains the right to modify various aspects of the National Advertising Council (NAC). Specifically, All Team reserves the right to establish and modify the duties, organization, form, manner of operation, membership, and methods of member selection of the NAC. These modifications can be made from time to time at All Team's sole discretion.

However, there is a stipulation that at least 50% of the NAC members must be franchisees elected by the franchisees themselves. This ensures that franchisees have a significant representation within the NAC, despite All Team's ability to make other changes. Any deadlocks that occur within the NAC will be resolved by the decision of the Director of the NAC, who is an All Team employee, officer, or director.

This arrangement means that while franchisees have a guaranteed voice in the NAC through their elected representatives, All Team ultimately has the power to shape the council's structure and operations. Prospective franchisees should consider this dynamic and how it might affect their influence on national advertising strategies and decisions. It is important to note that the NAC is responsible for reviewing and approving long-range marketing plans, which All Team will then implement.
