ATFC MAXIMUM AGGREGATE LIABILITY AND THE MAXIMUM AGGREGATE LIABILITY OF ANY OF ATFC'S OFFICERS, OWNERS, DIRECTORS, MEMBERS, MANAGERS, EMPLOYEES, AFFILIATES, PARENTS OR SUBSIDIARIES RELATED TO ANY AND ALL CLAIMS RELATING TO OR ARISING FROM THIS AGREEMENT OR THE RELATIONSHIP SET FORTH IN THIS AGREEMENT SHALL BE COLLECTIVELY LIMITED TO THE AMOUNT USER PAID TO ATFC WITHIN THE PRIOR 12 MONTHS IMMEDIATELY BEFORE WRITTEN NOTICE OF ANY PROPER CLAIM IS RECEIVED BY ATFC.

What This Means (2025 FDD)
According to All Team's 2025 Franchise Disclosure Document, the maximum aggregate liability does include its officers. Specifically, All Team's maximum aggregate liability, along with the maximum aggregate liability of any of its officers, owners, directors, members, managers, employees, affiliates, parents, or subsidiaries, is limited. This limitation applies to any and all claims relating to or arising from the agreement or the relationship set forth in the agreement.
For a prospective All Team franchisee, this means that the total amount All Team or its related parties, including officers, could be liable for is capped. The cap is set at the amount the franchisee paid to All Team within the 12 months immediately before written notice of any proper claim is received by All Team.
This clause provides a degree of financial certainty for All Team, limiting their potential exposure in case of disputes. However, for the franchisee, it also means that their potential recovery from All Team and its related parties is limited to the amount they have paid to All Team in the preceding year, regardless of the actual damages they may have suffered. Franchisees should carefully consider this limitation when evaluating the potential risks and rewards of investing in an All Team franchise.
