What This Means (2025 FDD)

According to the 2025 All Team Franchise Disclosure Document, franchisees are required to promptly disclose to All Team all ideas and suggestions for modifications or enhancements to the software. All Team, its affiliates, and its franchisees have the right to use, develop, and license these ideas and suggestions in any manner at All Team's discretion, without any obligation to the franchisee. This means that if a franchisee comes up with an idea to improve the software, they must inform All Team, and All Team has the sole right to decide whether or not to implement the idea. The franchisee will not receive any compensation or recognition for their idea. This requirement is part of the franchise agreement and ensures that All Team maintains control over the software and its development.

This clause is fairly common in franchise agreements, especially those involving proprietary software. It allows the franchisor to benefit from the collective knowledge of its franchisees while maintaining control over its intellectual property. For a prospective All Team franchisee, this means that while they are encouraged to provide feedback and suggestions, they should not expect to be compensated for their ideas or have any control over whether those ideas are implemented. It is important for franchisees to understand that any improvements they suggest become the property of All Team.

All Team's unlimited rights to remotely access the software and use the information contained within the franchisee's copy for any purpose All Team deems appropriate, including disseminating such information to All Team's creditors and potential franchisees, further emphasizes All Team's control over the software and data. Franchisees bear all costs of licensing, installation, operation, maintenance, and upgrading the software and pay All Team a weekly technology fee. This arrangement ensures that All Team can leverage franchisee contributions to improve the software while retaining ownership and control.
