Does the All Team franchise agreement consider ATFC's actions a representation or warranty?
All_Team Franchise · 2025 FDDAnswer from 2025 FDD Document
FRANCHISEE agrees that ATFC's action, refusal to act, approval, disapproval, consent, or refusal of consent is not, and shall not be deemed, a representation, warranty, certification or guarantee by ATFC about that which is acted upon or refused consent, or about any appropriateness, legality, profitability, or success related thereto.

What This Means (2025 FDD)
According to All Team's 2025 Franchise Disclosure Document, the franchise agreement explicitly states that ATFC's actions, or lack thereof, do not constitute a representation, warranty, certification, or guarantee. This applies to any action ATFC takes, any refusal to act, any approval or disapproval, or any consent or refusal of consent related to the franchise agreement or the manual.
This means that franchisees cannot interpret All Team's decisions or actions as assurances of appropriateness, legality, profitability, or success. The franchisee bears the responsibility for their own business outcomes and cannot hold All Team liable based on the assumption that All Team's actions serve as a guarantee of any kind. This underscores the importance of independent due diligence and business acumen on the part of the franchisee.
Furthermore, the FDD emphasizes that All Team has the right to exercise its own judgment on matters related to the agreement and the manual, and franchisees are subject to All Team's sole discretion in these matters. This reinforces the independent nature of the franchisee's business and the speculative nature of its success, which depends largely on the franchisee's abilities as an independent business person.
