What This Means (2025 FDD)
According to All Team's 2025 Franchise Disclosure Document, the franchisee irrevocably appoints All Team Franchise Corporation (ATFC) or ATFC's nominee as the franchisee's attorney-in-fact. This appointment is coupled with an interest and includes the power of substitution. This means ATFC can act on behalf of the franchisee to execute and file any relevant document needed to accomplish actions contemplated within Section XII.C of the franchise agreement.
All Team retains the right to file an original counterpart or a copy of the Franchise Agreement. This filing can be done with entities such as the telephone company, landlord, or any court, agency, or person. The purpose of this filing is to provide written evidence of the franchisee's appointment of ATFC or its nominee as the franchisee's attorney-in-fact.
This clause ensures that All Team has the legal authority to act on behalf of the franchisee in specific, defined situations related to the franchise agreement. It also allows All Team to provide proof of this authority to third parties, which may be necessary for various administrative or legal purposes. Prospective franchisees should carefully review Section XII.C of the franchise agreement to fully understand the scope of ATFC's power of attorney.
