What This Means (2024 FDD)

According to the 2024 All States M.E.D. Franchise Disclosure Document, the General Release within the franchise agreement does release the Releasee from demands. Specifically, the franchisee and their associated parties release the Releasee (including its agents, employees, officers, directors, members, franchisees, successors, assigns, and affiliates) from all claims, actions, causes of action, contractual rights, demands, damages, costs, loss of services, expenses, and compensation that the franchisee could assert against the Released Parties up to the date of the release. This release is designed to give up all rights related to the transactions or occurrences being released under the agreement.

However, the FDD also specifies some limitations and exceptions to this general release. For instance, a California Releasor must expressly waive rights under California Civil Code §1542, which pertains to claims unknown at the time of the release that would have materially affected the settlement. Furthermore, the release does not apply to liabilities arising under specific state franchise laws, including those in California, Indiana, Maryland, Michigan, Minnesota, North Dakota, Rhode Island, and Washington.

In practical terms, this means that a prospective All States M.E.D. franchisee needs to be fully aware of the implications of signing a general release. They should understand what rights they are giving up and ensure they are comfortable with those terms. Additionally, franchisees should be aware of the specific state laws that provide exceptions to the release, as these may offer some protection in certain situations. It is advisable to consult with a legal professional to fully understand the scope and implications of the general release before signing the franchise agreement.

Notably, the North Dakota Addendum to the Franchise Agreement states that franchisees in North Dakota are not required to sign a general release upon renewal of the franchise agreement. This highlights the importance of reviewing any state-specific addenda to understand how the standard franchise agreement may be modified to comply with local laws. This also means that the requirements for releases can vary significantly depending on the franchisee's location.
