What This Means (2024 FDD)

According to the 2024 All States M.E.D. Franchise Disclosure Document, All States M.E.D. retains the right to modify standards or specifications for any franchisee. This decision can be based on the franchisee's qualifications, the site's specific characteristics, the demographics of the trade area, business potential, existing business practices, or any other condition that All States M.E.D. considers important for the successful operation of a particular All States M.E.D. Business. This clause provides All States M.E.D. with broad discretion in determining what factors influence its decision to grant a variance.

This discretion means that All States M.E.D. can tailor its requirements to fit specific situations, potentially benefiting franchisees by allowing for more flexible adaptation to local conditions. However, it also carries the risk of inconsistent application of standards, as the criteria for granting variances are not explicitly defined and are subject to All States M.E.D.'s subjective assessment. A prospective franchisee should be aware that All States M.E.D. is not obligated to offer the same variance to all franchisees.

For a potential All States M.E.D. franchisee, this clause highlights the importance of understanding the local market and business environment. It also underscores the need to communicate effectively with All States M.E.D. to demonstrate how specific site conditions or business practices might warrant a variance from standard requirements. While All States M.E.D.'s flexibility can be advantageous, franchisees should be prepared to justify their requests for variances based on factors relevant to their business's success.

In the franchise industry, it is not uncommon for franchisors to retain some flexibility in applying standards to accommodate local market conditions or individual franchisee circumstances. However, the extent of discretion can vary, and franchisees should carefully evaluate the potential implications of such clauses in the franchise agreement.
