What This Means (2024 FDD)

According to All States M.E.D.'s 2024 Franchise Disclosure Document, the franchisee is required to punctually pay and perform each undertaking, agreement, and covenant outlined in the Franchise Agreement. This obligation is further reinforced by an Unlimited Guaranty and Assumption of Obligations, which must be executed by all holders of a legal or beneficial interest of 5% or greater in the franchisee. This guaranty ensures that these individuals personally assume and discharge all of the franchisee's obligations under the agreement, making them personally liable for fulfilling these obligations.

This requirement means that any failure by the All States M.E.D. franchisee to meet their financial or operational commitments under the Franchise Agreement can result in direct personal liability for those who have signed the Unlimited Guaranty. This includes monetary obligations, as well as obligations to take or refrain from specific actions as detailed in Sections 6, 7, and 17 of the Agreement. The guarantor waives rights such as acceptance and notice of acceptance by the franchisor, notice of demand for payment, protest and notice of default, and any right to require action against the franchisee before pursuing the guarantor.

The Unlimited Guaranty also stipulates that the liability of the guarantors is joint and several, meaning each guarantor is individually liable for the full amount of the franchisee's obligations. The franchisor is not obligated to pursue remedies against the franchisee before seeking payment or performance from the guarantors. Furthermore, the liability of the guarantors is not affected by any extensions of time, credit, or other indulgences that the franchisor may grant to the franchisee. This ensures that the guaranty remains in effect throughout the term of the agreement, regardless of any modifications or compromises made between the franchisor and franchisee.

This arrangement is fairly common in franchising, as franchisors seek to ensure that franchisees are fully committed to the business and that there are multiple avenues for recourse in case of default. Prospective All States M.E.D. franchisees should carefully review the Franchise Agreement and the Unlimited Guaranty to fully understand the scope of their obligations and the potential liabilities they are undertaking. They should also seek legal counsel to assess the implications of the guaranty and ensure they are comfortable with the level of personal risk involved.
