What This Means (2024 FDD)

According to All States M.E.D.'s 2024 Franchise Disclosure Document, franchisees may only share trade secrets and confidential information with employees who require access to it in order to operate the franchised business. The franchisee is responsible for ensuring that these employees maintain the confidentiality of the information. This obligation extends to shareholders, officers, directors, partners, members (if the franchisee is a corporation or LLC), managers, executives, and staff, who may be required to sign additional agreements.

This policy ensures that sensitive business information remains protected, preventing it from falling into the hands of competitors or being used in ways that could harm the All States M.E.D. system. Franchisees must implement reasonable procedures to prevent unauthorized use or disclosure of trade secrets and confidential information.

The FDD emphasizes that unauthorized use or duplication of trade secrets or confidential information constitutes an unfair method of competition. Franchisees are liable to All States M.E.D. for any unauthorized disclosure or use of trade secrets or confidential information by their employees, agents, or representatives. This underscores the importance of carefully managing access to sensitive information and ensuring that all personnel understand and adhere to the confidentiality requirements.
