ILLINOIS ADDENDUM TO THE DISCLOSURE DOCUMENT

As to franchises governed by the Illinois Franchise Disclosure Act, if any of the terms of the Disclosure Document are inconsistent with the terms below, the terms below control.

    1. No statement, questionnaire, or acknowledgment signed or agreed to by a franchisee in connection with the commencement of the franchise relationship shall have the effect of (i) waiving any claims under any applicable state franchise law, including fraud in the inducement, or (ii) disclaiming reliance on any statement made by any franchisor, franchise seller, or other person acting on behalf of the franchisor. This provision supersedes any other term of any document executed in connection with the franchise.

What This Means (2024 FDD)

The 2024 All States M.E.D. Franchise Disclosure Document (FDD) does not explicitly state any conditions under which the Franchisee Disclosure Questionnaire can be replaced. However, the Illinois Addendum included in Item 23 states that "No statement, questionnaire, or acknowledgment signed or agreed to by a franchisee in connection with the commencement of the franchise relationship shall have the effect of (i) waiving any claims under any applicable state franchise law, including fraud in the inducement, or (ii) disclaiming reliance on any statement made by any franchisor, franchise seller, or other person acting on behalf of the franchisor. This provision supersedes any other term of any document executed in connection with the franchise."

This addendum suggests that while a questionnaire exists, its impact is limited in Illinois. It cannot waive rights or disclaim reliance on franchisor statements. This implies that in Illinois, the questionnaire's influence is reduced, but it doesn't specify outright replacement. The FDD includes the Franchisee Disclosure Questionnaire as Exhibit H, suggesting it is a standard part of the franchising process.

Prospective franchisees should directly ask All States M.E.D. about the specific purpose and legal implications of the Franchisee Disclosure Questionnaire, particularly in states with addenda like Illinois. Understanding the enforceability and role of this questionnaire is crucial before signing any agreements.
