What This Means (2024 FDD)
According to the 2024 All States M.E.D. Franchise Disclosure Document, Exhibit H outlines the Franchisee Disclosure Questionnaire. This questionnaire is designed to confirm that prospective franchisees have not received any unauthorized, untrue, inaccurate, or misleading statements or promises. It also ensures that franchisees have been properly represented and understand the limitations on potential claims related to their franchise.
The FDD specifies that the Franchisee Disclosure Questionnaire is not applicable to franchise sales in or to residents of California, Hawaii, Illinois, Indiana, Maryland, Michigan, Minnesota, New York, North Dakota, Rhode Island, South Dakota, Virginia, Washington, or Wisconsin. The document emphasizes that the franchisee cannot sign or date the Acknowledgment the same day as the Receipt for the Franchise Disclosure Document but must sign and date it on the same day they sign the Franchise Agreement and pay the franchise fee.
Furthermore, the Illinois Addendum to the Disclosure Document states that no statement, questionnaire, or acknowledgment signed by a franchisee can waive claims under state franchise law, including fraud in the inducement, or disclaim reliance on statements made by All States M.E.D. or its representatives. This provision supersedes any other conflicting terms in documents related to the franchise agreement. This addendum effectively limits the enforceability of waivers or disclaimers that might otherwise be included in the Franchisee Disclosure Questionnaire, particularly concerning claims related to fraud or misrepresentation.
