After termination of the All Dogs Unleashed Development Agreement, can the developer open additional facilities?

- 5.4 Effects of Termination. On the expiration of the term, or on termination of this Agreement, regardless of the cause for termination, you have no further right to open or operate additional Facilities that are not, at the time of the termination or expiration, the subject of a then existing Franchise Agreement between you and us that is in full force and effect. After the expiration or earlier termination of this Agreement, we may open and operate, and license others the right to open and operate, one or more Facilities anywhere in the Development Area, subject to any territorial rights granted to you or any Developer Affiliate, as applicable, under any Franchise Agreement then in effect.

What This Means (2025 FDD)
According to the 2025 All Dogs Unleashed Franchise Disclosure Document, if the Development Agreement expires or is terminated, the developer has no further rights to open or operate additional All Dogs Unleashed facilities. This restriction applies to facilities that are not already subject to an existing Franchise Agreement between the developer and All Dogs Unleashed at the time of termination or expiration, provided that the existing agreement is in full force and effect.
After the Development Agreement ends, All Dogs Unleashed retains the right to open and operate its own facilities, or to license others to do so, within the Development Area. This is subject to any territorial rights that were previously granted to the developer or any Developer Affiliate under a Franchise Agreement that is still active.
This clause protects All Dogs Unleashed's interests by preventing developers whose agreements have ended from further expanding within the designated area, while allowing All Dogs Unleashed to continue developing its brand through other franchisees or corporate-owned locations. For a prospective franchisee, this means that the rights to develop new locations are strictly tied to the Development Agreement and any existing Franchise Agreements, which must be carefully maintained to avoid losing development opportunities.
