What This Means (2025 FDD)
According to All Dogs Unleashed's 2025 Franchise Disclosure Document, the right to use the All Dogs Unleashed trademark is licensed to the company by an affiliate. This affiliate also grants All Dogs Unleashed the right to sublicense the trademark to its franchisees. The license agreement has a term of 20 years and automatically renews for additional 10-year terms.
For a prospective All Dogs Unleashed franchisee, this arrangement means that their right to use the trademark is dependent on the agreement between All Dogs Unleashed and its affiliate. If the license agreement between All Dogs Unleashed and its affiliate is terminated or expires, the franchise agreement will be assigned to the trademark owner or its designee. This assignment ensures the franchisee can continue using the All Dogs Unleashed trademark through the expiration of their franchise agreement, subject to the restrictions outlined in that agreement.
This type of licensing arrangement is common in franchising, where a parent company or affiliate owns the intellectual property and licenses it to the franchising entity. It's important for franchisees to understand the terms of these agreements, as they dictate the conditions under which they can use the brand's trademarks. Franchisees must adhere to the franchisor's guidelines on trademark usage, including the designated marks, authorized manner of use, and proper symbols. Franchisees cannot contest the ownership or validity of the marks and must cooperate in protecting them.
All Dogs Unleashed franchisees are also restricted from using the trademarks in their corporate name or to incur debt on behalf of the franchisor. Furthermore, the use of the trademarks on the internet is limited and requires written permission. Franchisees must promptly report any unauthorized use or challenges to the trademarks. All Dogs Unleashed retains the right to modify or replace the trademarks, and franchisees must comply with these changes at their own expense within 60 days of written notice.
