What This Means (2025 FDD)
According to All County's 2025 Franchise Disclosure Document, a general release form is used as a condition of renewal or assignment/transfer of the franchise. This means that if a franchisee wants to renew their franchise agreement or transfer it to someone else, they will likely need to sign a general release form.
The general release form includes releases of claims by both All County and the franchisee. All County releases the franchisee from any and all actions, suits, proceedings, claims, complaints, judgments, and executions related to the Franchise Agreement, upon full payment of an unspecified amount to All County and adherence to other terms and conditions. However, this release does not absolve the franchisee from their obligations under the agreement.
Similarly, the franchisee releases All County from any and all actions, suits, proceedings, claims, complaints, charges, judgments, and executions related to the Franchise Agreement, in consideration of the other terms and conditions of the agreement. Both parties also reserve their rights and claims against any non-settling parties for damages attributable to their wrongful conduct. The agreement specifies that it constitutes the entire agreement between the parties and that the parties have entered into the agreement voluntarily and with the opportunity to consult with an attorney.
The FDD includes a sample copy of the current general release form as Exhibit E. However, the document also notes that this form is subject to change over time, so the actual form used at the time of renewal or transfer may differ from the sample.
