- 5.1. Managing Owner.
You acknowledge and agree that your owners and you will grant to one individual (the "Managing Owner"), the authority to legally bind you in any dealings with us, or our affiliates, and to direct any action necessary to ensure compliance with this Agreement and any other agreements relating to the Business.
- "Managing Owner" means the Owner of the Franchised Business that has all the authority necessary to carry out day to day business decisions, answer any questions or requests we have, and bind you.

What This Means (2025 FDD)
According to All County's 2025 Franchise Disclosure Document, the individual who must have the authority to legally bind the franchisee is called the "Managing Owner". All County requires that the owners grant one individual this authority to act on their behalf in all dealings with All County and to ensure compliance with the franchise agreement.
This designated Managing Owner must maintain management control of the business throughout the term of the agreement, possessing the necessary authority, ownership, managerial control, and voting power, unless All County agrees otherwise in writing. All County must be notified 30 days in advance of any change in the Managing Owner. In the event of death or incapacity, All County must be notified immediately, and a new Managing Owner must be appointed within 60 days.
All County retains the right to review and disapprove any newly appointed Managing Owner within 10 days of notice and to approve the authority of the Managing Owner as outlined in the franchisee's organizational documents. Franchisees and their owners are prohibited from taking any actions that would avoid or restrict the authority of the Managing Owner. The FDD also defines "Managing Owner" as the Owner of the Franchised Business that has all the authority necessary to carry out day to day business decisions, answer any questions or requests All County has, and bind you.
