Presently, there are no advertising cooperatives or franchisee advertising councils involved in the advertising process, although there are no restrictions on our right to require advertising cooperatives or franchisee advertising councils to be formed, changed, dissolved or merged. Presently we do not have any existing policies in place regarding the formation of any franchisee advertising council, but if we establish one, we will communicate all the policies of the council to you through written updates to our Operations Manual or to our Methods of Operation. The written policies of any franchisee advertising council may include information on how members of the council are selected and whether the council serves in an advisory capacity only or has operational or decision-making power.

What This Means (2025 FDD)

According to All County's 2025 Franchise Disclosure Document, currently, there are no advertising cooperatives or franchisee advertising councils involved in the advertising process. However, All County retains the right to require the formation, change, dissolution, or merger of such entities in the future. While there are no existing policies regarding franchisee advertising councils, All County will communicate any council policies through written updates to the Operations Manual or Methods of Operation, including information on member selection and the council's advisory or decision-making power.

All County may establish or approve local or regional advertising cooperatives covering designated geographical areas. Membership in these cooperatives is voluntary for both company-owned and franchisee-owned locations, and franchisees are not required to join. The maximum contribution to an advertising cooperative is 1% of annual Gross Revenue. Franchisees will have the opportunity to review the governing documents of any advertising cooperative before deciding whether to join.

In addition to contributing to the Advertising Fund, franchisees must spend a minimum of $3,000 initially for local advertising and promotion and at least $1,500 monthly for ongoing local advertising and promotion. All County will provide start-up marketing materials and templates, but there is no guarantee of success. Franchisees must submit all proposed advertising materials to All County for approval, which will be granted or denied within 15 days of receipt.

All County also administers an Advertising Fund, which is funded by advertising and marketing fees paid by franchisees. Currently, the monthly Advertising Fund Fee is the greater of 1% of Gross Revenue or $195, with all franchisees contributing at the same percentage rate. For the fiscal year ending December 31, 2024, 26% of the Advertising Fund was spent on website development services, 51.8% on client retention, and 22.2% on marketing and public relations.
