Can All County terminate the Franchise Agreement for failure to pay amounts due?

  • 22.2.11. you fail to make payments of any amounts due to us and do not correct such failure within seven (7) days after written notice of such failure is delivered to you;

  • 22.2.12. you fail to pay when due any federal or state income, service, sales, employment related or other taxes due on the operations of the Business, unless you are, in good faith, legally contesting your liability for such taxes;

  • 22.2.14. you (or any of your owners) fail on three (3) or more separate occasions within any period of twelve (12) consecutive months to submit when due reports or other data, information or supporting records, to pay when due any amounts due to us or otherwise to comply with this Agreement, whether or not such failures to comply were corrected after written notice of such failure was delivered to you;

What This Means (2025 FDD)

According to All County's 2025 Franchise Disclosure Document, All County can terminate the Franchise Agreement if a franchisee fails to make payments of any amounts due. However, All County must provide written notice of the failure, and the franchisee has seven days to correct the failure after receiving the notice.

All County also has the right to terminate the agreement if a franchisee fails to pay federal or state income, service, sales, employment-related, or other taxes due on the operations of the business. This does not apply if the franchisee is legally contesting their liability for such taxes in good faith.

Additionally, All County can terminate the agreement if a franchisee fails on three or more separate occasions within any 12-month period to submit reports or data when due, to pay amounts due, or otherwise comply with the agreement, regardless of whether the failures were corrected after notice.
