What This Means (2025 FDD)

According to All County's 2025 Franchise Disclosure Document, both All County and the franchisee enter into a Release of Claims agreement with the intention of settling any and all disputes that may exist between them relating to the Franchise Agreement. This is done in consideration of the agreements and covenants outlined in the release.

The agreement includes specific releases of claims. All County releases the franchisee from any and all actions, suits, proceedings, and claims related to the Franchise Agreement, provided that the franchisee makes full payment of a specified amount to All County. Similarly, the franchisee releases All County from any and all actions, suits, proceedings, and claims related to the Franchise Agreement, in consideration of the other terms and conditions of the agreement.

However, both All County and the franchisee expressly reserve their rights and claims against any non-settling parties for damages attributable to the wrongful conduct of those parties. The Release of Claims agreement constitutes the entire agreement between the parties regarding the subject matter, superseding any prior understandings or agreements. Both parties acknowledge that they are entering into the agreement voluntarily and have had the opportunity to consult with an attorney, read the terms, and fully understand and accept them.

It's important to note that in Maryland, any general release required in the Franchise Agreement as a condition of renewal, sale, and/or assignment or transfer does not apply to any liability under the Maryland Franchise Registration and Disclosure Law. This addendum ensures compliance with Maryland statutes and regulations, protecting franchisees' rights under state law.
