Answer from 2025 FDD Document

    1. The Franchise Agreement requires binding arbitration. The arbitration will occur in the office of the American Arbitration Association that is nearest to our principal business address with the costs being borne as determined by the arbitrator. Prospective franchisees are encouraged to consult private legal counsel to determine the applicability of California and federal laws (such as Business and Professions Code Section 20040.5, Code of Civil Procedure Section 1281, and the Federal Arbitration Act) to any provisions of a franchise agreement restricting venue to a forum outside the State of California.

What This Means (2025 FDD)

According to All County's 2025 Franchise Disclosure Document, for franchisees in California, the costs of binding arbitration will be determined by the arbitrator. The arbitration itself will occur in the office of the American Arbitration Association that is nearest to All County's principal business address.

This means that if a dispute arises between All County and a franchisee in California that goes to arbitration, the arbitrator will decide how the costs of the arbitration process are divided between the parties. This could include fees for the arbitrator's time, administrative costs, and other expenses related to the arbitration. The franchisee should be aware that they may be responsible for a portion, or all, of these costs, depending on the arbitrator's decision.

It is important for prospective franchisees to seek legal counsel to fully understand the implications of the arbitration clause in the Franchise Agreement, especially considering the applicability of California and federal laws. Understanding how arbitration costs are determined and the location of the arbitration can help franchisees prepare for potential dispute resolution scenarios.
