What This Means (2025 FDD)
According to All County's 2025 Franchise Disclosure Document, the franchisee is responsible for all expenses associated with modifying or replacing the Marks. The FDD specifies that All County will notify franchisees if they need to modify or replace any Marks, and the franchisee must comply within a reasonable time after receiving notice.
This means that if All County decides to update its branding, logos, or other trademarks, the franchisee will bear the costs of updating signage, marketing materials, and any other items that display the Marks. All County is not obligated to reimburse the franchisee for any lost revenue due to modified or discontinued Marks, or for any expenses incurred in promoting a modified or substitute Mark.
This allocation of expenses is a significant consideration for prospective franchisees. Franchisees should factor in the potential costs of rebranding when evaluating the financial viability of the franchise. It is important to note that while All County directs the changes, the financial burden falls on the franchisee. Franchisees should inquire about the likelihood and potential frequency of such changes to better prepare for these costs.
Furthermore, the franchisee must discontinue the use of the Marks immediately upon termination or expiration of the Franchise Agreement. This includes any unauthorized use, challenge to the validity of the Marks, or challenge to All County's ownership. The franchisee is responsible for notifying All County of any suspected unauthorized use of the Marks.
