irst or second degree relatives, the transfer fee will be waived, although you are required to reimburse us for any reasonable legal and administrative costs we incur in connection with the transfer. Additionally, as a required condition of our approval of any proposed transfer of the Franchised Business, or the proposed transfer of any part of the Territory, to any third party (which shall include any existing ALL COUNTY franchisee), the transferee must agree to pay us a separate fee (the "Transferee Administrative Fee") in the amount of Two Thousand Five Hundred Dollars ($2,500) for administrative and other expenses we incur in connection with the transfer. What This Means (2025 FDD)
According to All County's 2025 Franchise Disclosure Document, All County has the discretion to decide whether or not to assist a franchisee in the transfer of their business. Specifically, if a franchisee requests assistance from All County to transfer 100% ownership of the business to a third party, All County, in its sole business judgment, can choose whether to provide that assistance. The FDD does not state that All County is required to provide a reason for its decision to not assist in the transfer.
This means that an All County franchisee cannot compel All County to assist in the sale of their franchise. If All County chooses not to assist, the franchisee will need to handle the transfer independently. This could involve additional work and expense for the franchisee, as they would need to find a buyer and manage the transfer process themselves.
If All County does agree to assist with the transfer, the franchisee must pay All County a "Transfer Assistance Fee" of $25,000. This fee is in addition to any other transfer fees or costs associated with the sale of the franchise. The Transfer Assistance Fee is due when the franchisee engages All County to assist in the transfer of the business.
