What This Means (2025 FDD)

According to All County's 2025 Franchise Disclosure Document, franchisees are restricted in who they can transfer or sell their business accounts or clients to. Specifically, an All County franchisee is prohibited from selling or transferring any of the accounts or clients of the business to anyone except to another All County business that has been approved in writing by All County, or directly back to All County, or to All County's designees.

This restriction is in place both during the term of the franchise agreement and upon termination or expiration of the agreement. This means that even after a franchisee leaves the All County system, they cannot sell their client base to just anyone; the clients must stay within the All County network if they are to be sold at all.

This provision ensures that the customer relationships and associated revenue remain within the All County franchise system, benefiting both the franchisor and other franchisees. However, it also limits the franchisee's options when exiting the business, as they cannot sell their book of business to a competitor or another third party without All County's explicit approval. This could potentially affect the value they receive for their business upon sale or transfer.
