- 15.2. Business Purposes Only. You will not acquire any interest in confidential information, other than the right to utilize confidential information disclosed to you in operating the Business during the Term of this Agreement. Use or duplication of any confidential information in any other business will constitute an unfair method of competition and a violation of this Agreement. Confidential information is disclosed to you solely on the condition that you agree that you:

What This Means (2025 FDD)
According to All County's 2025 Franchise Disclosure Document, franchisees do not acquire any ownership interest in the confidential information disclosed to them. All County retains ownership of its confidential information, which includes location selection criteria, business practices, marketing and advertising programs, knowledge of suppliers, and operating results of other All County businesses. Franchisees are only granted the right to use this confidential information during the term of their franchise agreement to operate their All County business.
This means that franchisees can only use the confidential information to operate their All County franchise. They cannot use it for any other business or purpose. Franchisees must also maintain the confidentiality of the information during and after the term of the agreement. They are prohibited from making unauthorized copies and must implement safeguards to prevent unauthorized use or disclosure.
Upon termination or expiration of the franchise agreement, franchisees must immediately cease using All County's confidential information and return all copies of the operations manual and other confidential materials. This ensures that All County retains control over its proprietary information and prevents franchisees from using it to compete with the company after the franchise agreement ends. All ideas, concepts, techniques, or materials relating to an All County business, even if created by the franchisee, become the sole property of All County.
