What This Means (2025 FDD)
According to All County's 2025 Franchise Disclosure Document, the Franchise Agreement includes a questionnaire that asks prospective franchisees to confirm their understanding of the Franchise Agreement and its exhibits. Specifically, the questionnaire asks if the franchisee has received and personally reviewed the Franchise Agreement and all attached exhibits and schedules. It also asks the franchisee to confirm whether they understand all the information contained within these documents. If the franchisee answers "no" to understanding any part of the agreement, they are prompted to specify which sections they do not understand.
This questionnaire serves as a checkpoint in the franchise process, ensuring that franchisees have had the opportunity to carefully examine the agreement and seek clarification on any unclear points before signing. This process aims to reduce misunderstandings and potential disputes later in the franchise relationship.
In addition to questions about the Franchise Agreement, the questionnaire also addresses the Franchise Disclosure Document (FDD). It asks if the franchisee has received and reviewed the FDD and if they understand all the information within it. Similar to the Franchise Agreement, franchisees are asked to specify any sections of the FDD they do not understand. The questionnaire also includes questions regarding the receipt of the Disclosure Document at least fourteen (14) days prior to signing any agreement or paying any money to All County, and whether the franchisee has discussed the benefits and risks of operating a Franchised Business with an attorney, accountant or other professional advisor and do they understand those risks.
By including these questions, All County emphasizes the importance of due diligence and informed decision-making on the part of the franchisee. This process helps protect both the franchisor and franchisee by ensuring a mutual understanding of the terms and obligations outlined in the Franchise Agreement and FDD.
