Does the All County franchise agreement confer any goodwill or other interests in the Marks to the franchisee?

According to All County's 2025 Franchise Disclosure Document, franchisees do not acquire an ownership interest in the All County marks. Specifically, the franchise agreement states, "You do not have an ownership interest in the Marks used with the Business."

This means that while franchisees are granted a license to use the All County marks and system during the term of their agreement, they do not gain any equity or proprietary rights to the trademarks themselves. The goodwill associated with the All County brand remains the property of the franchisor, All County.

Upon termination or expiration of the franchise agreement, All County has the option to purchase the franchisee's business. The purchase price determination explicitly excludes any value for the franchise, the marks, or participation in the All County network. This reinforces that the franchisee does not own any portion of the brand equity or goodwill associated with the All County marks.
